Your licence and co-operation agreements
These contain details of our obligations to you and your obligations to Wholefood Planet Ltd. It also grants you the rights and obligations to use:
- The Wholefood Planet name, logo and signage
- The Wholefood Planet systems and methods of operating the business
- The Wholefood Planet recipes, marketing materials, leaflets and know-how
- The Wholefood Planet training and technical advice
Operations Manual with Employment Pack and Reference Documents
These documents have been created combining best practice from the social enterprise sector and the two Daily Bread businesses. They, together with the training, have been developed in order to allow Wholefood Planet businesses to rapidly start trading.
The financial linkages
In principal these are:
- A pre-licence fee of £8,000 plus receipted travel and subsistence expenses of the licensor necessary to attend any meetings to cover supply of market research data, business modelling software for Wholefood Planet and business plan templates. The licensor needs to approve the new company’s board, approve and be involved in appointment of the store manager, approve location for the business, approve the business and marketing plans, and budgeted spend (we recommend a minimum amount of £5,000 to market the launch and at least £15,000 for year 1 marketing costs, for example;
- On approval of all of the above, the remaining licence fee of £8,000 plus receipted travel and subsistence costs of the licensor to attend any support meetings as necessary. At this stage the licence agreement will be signed. This releases the Operations Manual and Employment packs to the licensee in order for it to work towards opening their outlet. This stage also grants you the licence to operate the business within the specified territory and rights to use the name, logo, signage and system. The support provided under the license includes telephone queries, and 6 half days of on-site support per year. Further support is available but this will incur a fee.Typically the period covered from pre-licence to launch could be 12-24 months but is highly dependent on start-up funding being in place and finding of appropriate premises.
There is an ongoing commission paid to the licensor on opening of the business of 1% monthly.
Territory
This will be defined by postcodes and will be determined once a location has been agreed.
